In a landmark deal that is set to reshape the landscape of the grocery e-commerce industry, DoorDash has announced its plans to acquire Instacart for an estimated $17 billion. This strategic merger unites two major players in the delivery sector, with the goal of empowering retailers—both large and small—to better reach their customer base through enhanced, innovative technology.
A synergy of digital capabilities
DoorDash confirmed it intends to retain the Instacart brand, its enterprise technology products, and its dedicated mobile app. Until the transaction officially closes, both companies will continue to operate as separate entities. The move provides DoorDash with immediate access to a vast network of grocery partnerships, a workforce of over 600,000 delivery couriers, and advanced e-commerce infrastructure that has become essential in the modern retail environment.
The power of retail media
Beyond logistics, the acquisition significantly expands DoorDash’s reach into the lucrative retail media space. Instacart’s advertising and ancillary revenue reached $331 million in its third quarter, accounting for approximately 30% of its total revenue. By integrating these assets, the combined entity aims to leverage data and advertising tools more effectively to drive growth.
Addressing grocery affordability
As consumer price sensitivity increases, both companies have prioritized efforts to tackle grocery affordability. While Instacart has been pushing its retail partners to align online pricing with in-store offerings, DoorDash has introduced consumer-facing tools designed to help shoppers identify savings and manage their grocery budgets more transparently. The companies believe this deal will offer consumers greater choice and more frequent opportunities for cost-effective delivery, while simultaneously providing delivery couriers with expanded earning potential.
The aggregate transaction consideration will be composed of at least 75% cash, with the remainder in stock options, and the agreement has already received unanimous approval from the Instacart board of directors.
