The dairy company’s Italian branch has been sold by Senso SaS holding. Senoble is a 900 million euro turnover group, known in Italy for the brand Bontà Viva.

Senso SaS (holding of the Senoble Group) completed the sale of the entire share capital of Senoble Italia SpA – a company active in the processing, production, and sale of dairy products – to the new single shareholder Eurial Holding SaS. Senoble is a 900 million euro turnover group with a direct presence in Italy – Senoble Italia (120 employees) – based in the province of Treviso. Here it makes private label dairy products for the most important Italian retailers, as well as its own Bontà Viva, with an annual production of 30,000 tons.

The buyout

Legance assisted the seller with a team led by partner Marco Graziani, assisted by the senior associate Lorenzo De Rosa and the associated Gianluca Trudda for corporate aspects M & A, and by the senior associate Francesco Castoldi for administrative law profiles. The buyer was assisted by Studio Chiomenti – with a work team coordinated by the corporate partner M & A Edoardo Andreoli and composed by the affiliated Daniele Sacchetti – for the corporate part, and by the senior associate Katia Zulberti and the associated Anna Brolis for the administrative issues. Notarial operations were entrusted to the notary Giacomo Ridella of the Busani & Partners Studio of Milan. French law aspects of the transaction were treated, for the seller, by the Paris office of Mayer Brown.
